AppReclaim — Terms of Service
Contract for use of the AppReclaim SaaS platform
Plain-language summary (non-binding): You use AppReclaim to analyze SaaS licenses and approve actions. We run approved changes through official APIs/integrations. You pay by subscription. We secure your data and support you per plan. Legal text below controls.

1. Scope & Parties

These Terms of Service (“Terms”) govern access to and use of the AppReclaim SaaS platform, websites, APIs, connectors and related services (collectively, the “Service”) provided by AppReclaim LLC (“AppReclaim”). “Customer”, “you”, or “your” means the individual or entity accepting these Terms.

3. Orders, Plans & Contract Term

Plans and features are listed in the portal. Terms may be monthly or multi‑year. Order Forms (if any) supplement these Terms.

4. Fees, Billing, Taxes & Renewals

Fees are billed in advance via Stripe (settled to Mercury). Auto‑renew unless canceled before term end. Taxes are your responsibility. Price/feature changes with notice; proration on mid‑term changes. Non‑payment may suspend service.

5. Acceptable Use & Restrictions

No unauthorized access, interference, reverse engineering, malware, rights violations, or connection of services you are not authorized to administer.

6. Customer Data, Integrations & Ownership

You own Customer Data. You grant AppReclaim a limited license to process it to provide, maintain, improve the Service, comply with law, and prevent abuse. You are responsible for legality and notices/consents. Third‑party services are governed by their terms.

7. AI Features & Deterministic Execution

AI produces summaries and recommendations only. Execution (reclaim/downgrade/restore) is performed by deterministic connectors or by your admins after approval. Audit logs record recommendations, approvals, and results. Restore paths exist where supported.

8. Availability, Support & Credits

See Subscription Agreement & SLA for uptime, response, maintenance, and credits.

9. Confidentiality & Security

Reasonable care for confidential information; RBAC, encryption in transit, monitoring, backups. You manage tenant‑side access and credential hygiene.

10. Privacy, DPA & Compliance

Privacy Policy applies. Where we act as processor, the DPA (roles, instructions, security, sub‑processors, breach notice, deletion/return, audits) applies.

11. Intellectual Property & Feedback

We retain ownership of the Service; you grant feedback license.

12. Warranties & Disclaimers

Service is provided “as is” and “as available”; all implied warranties disclaimed to the fullest extent permitted by law.

13. Limitation of Liability

No indirect or consequential damages; aggregate cap equals fees paid in prior 12 months.

14. Indemnification

You indemnify AppReclaim for misuse, legal breaches, and infringing Customer Data/configurations.

15. Term, Suspension & Termination

Suspension/termination for breach, non‑payment, security risk, or legal requirement. Upon termination, export available; deletion/return per Privacy Policy/DPA. Survival of key sections.

16. Governing Law & Venue

State of Colorado, USA; exclusive venue in Colorado courts.

17. Changes to Service or Terms

Material changes notified via Service or email; continued use equals acceptance.

18. Miscellaneous

Force majeure, assignment, severability, waiver.
